These Terms of Service ("Terms") govern your access to and use of the VaultAPI platform, website, APIs, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.
1. The Service
VaultAPI is an AI gateway that lets you route requests to third-party large language model ("LLM") providers through a unified, OpenAI-compatible API using your own provider credentials ("BYOK"), together with token counting, cost estimation, routing, observability, budgets, and billing features.
2. Accounts & organizations
You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and API keys. The account owner is responsible for their organization members' use.
3. BYOK & third-party providers
- You are responsible for obtaining and complying with each selected provider's terms.
- We transmit requests to those providers using the credentials you supply. We do not control or take responsibility for their availability, outputs, pricing, or policies.
- You are responsible for charges billed by third-party providers to your accounts.
4. Acceptable use
You agree not to use the Service to violate law or third-party rights; generate or distribute unlawful, infringing, or harmful content; breach provider usage policies; disrupt, reverse engineer, or gain unauthorized access to the Service or another tenant's data; or resell the Service except as expressly permitted.
5. Plans, trials & payment
Paid plans and any free trial are described on the pricing page. Fees, quotas, and limits are those shown for your plan. Payments are processed by Stripe and Razorpay. By subscribing, you authorize recurring charges until cancellation. Fees are exclusive of taxes unless stated otherwise. Cancellations and refunds are governed by the Refund & Cancellation Policy.
6. Your data
Your use of the Service is also governed by the Privacy Policy and, where applicable, the Data Processing Agreement. You retain ownership of your content and grant us the limited rights needed to operate the Service, including transmitting requests to providers you select and storing permitted logs and metadata.
7. Security
We implement reasonable technical and organizational measures, including encryption of stored provider keys. No system is perfectly secure; you use the Service at your own risk and are responsible for your credentials and provider-side security.
8. Service changes & availability
We may modify, suspend, or discontinue features. Except where a separate SLA applies, the Service is provided without an uptime guarantee.
9. Intellectual property
We and our licensors own the Service and related intellectual property. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.
10. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate access for breach, non-payment, or risk to the Service or others. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.
11. Disclaimers
THE SERVICE AND ALL PROVIDER OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits or data. Our total liability for any claim will not exceed the amounts you paid us in the 12 months before the claim, subject to applicable consumer-law carve-outs.
13. Indemnification
You will indemnify us against claims arising from your content, use of the Service, provider accounts, or breach of these Terms.
14. Governing law & disputes
These Terms are governed by applicable law, and disputes will be resolved in courts of competent jurisdiction.
15. Changes to these Terms
We may update these Terms. Material changes will be notified through the Service or email. Continued use after changes take effect constitutes acceptance.
